End-User License Agreement (Agent Software)
Effective date: January 1, 2025
This End-User License Agreement (the "EULA") governs your installation and use of the Palisade Agent (the "Agent"), the endpoint software provided by Palisade Networks LLC ("Palisade"). The Agent is licensed, not sold. By installing, enrolling, or running the Agent, you agree to this EULA and to the Terms of Service, which it supplements. Capitalized terms not defined here have the meaning given in the Terms of Service.
1. License Grant
Subject to your compliance with this EULA and the Terms of Service, Palisade grants you a limited, non-exclusive, non-transferable, revocable license to install and run the Agent on Managed Devices solely to access and use the Service during your subscription or use term.
2. Privileged Operation — Acknowledgment
You acknowledge and agree that:
2.1 The Agent installs and runs as a system-level service with elevated (administrator/ SYSTEM) privileges in order to perform administrative operations, and can execute commands, transfer files, manage accounts and services, capture the screen, and relay connections to other devices on the local network.
2.2 These capabilities are powerful and potentially destructive if misused. You are responsible for the configuration, permissions, and actions taken through the Agent, and for ensuring only appropriately authorized Authorized Users can direct it.
3. Authorization Representation (important)
You represent and warrant that, for each device on which you install the Agent and each device you reach through it, you own the device or are expressly authorized by its owner to install the Agent, administer the device, and access it (including via terminal, file access, screen access, the device proxy, Telnet, and SSH). You will not install or use the Agent on, or use it to access, any device you do not own or are not authorized to manage. Breach of this Section is a material breach.
4. Restrictions
You will not, and will not permit any third party to:
(a) copy, modify, or create derivative works of the Agent, except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Agent, or attempt to derive its source code, except to the extent applicable law expressly permits despite this limitation; (c) rent, lease, lend, sell, sublicense, distribute, or host the Agent for the benefit of third parties, except as expressly authorized; (d) remove, alter, or obscure any proprietary notices; (e) circumvent or disable any security, licensing, or authentication mechanism; (f) use the Agent other than in connection with the Service, or in violation of the Acceptable Use Policy or law.
5. Updates
The Agent may update itself automatically to maintain security and compatibility. You consent to the download and installation of such updates. Updates are governed by this EULA unless accompanied by separate terms.
6. Ownership
Palisade and its licensors retain all right, title, and interest in and to the Agent, including all intellectual property rights. No rights are granted except as expressly set out in this EULA.
7. Term and Termination
This EULA applies while you use the Agent. It terminates automatically if you breach it or when your right to use the Service ends. On termination you will stop using and uninstall the Agent from all devices. Sections 2, 3, 4, 6, 8, and 9 survive termination.
8. Disclaimer and Limitation of Liability
THE AGENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. The warranty disclaimer in Section 8 and the limitation of liability in Section 9 of the Terms of Service apply to the Agent and are incorporated by reference.
9. Third-Party and Open-Source Components
The Agent may include third-party or open-source components licensed under their own terms; those terms govern those components and, to the extent of any conflict, control as to them. A list of such components is available on request at support@palisadenetworks.com.
10. U.S. Government / Export
The Agent is "commercial computer software." You will comply with all applicable export control and sanctions laws and will not export or use the Agent in violation of them.
